1.   Acceptance of Terms

By accessing or using the Gala de Danza website, purchasing tickets, reserving hospitality experiences, participating in excursions, or attending any Gala de Danza event, program, activity, or related experience (collectively, the “Event”), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you do not agree to these Terms & Conditions, you may not use the website or purchase tickets or related services.

2.   Ticket Purchases; Final Sale Policy

All ticket sales and related purchases are final. Tickets, VIP packages, hospitality experiences, dining experiences, sponsorship packages, excursions, transportation reservations, and related Event purchases are non-refundable, non-transferable, and non-exchangeable except as expressly set forth herein.

All purchases are subject to availability and confirmation. Prices are listed in U.S. Dollars (USD) unless otherwise stated and may change at any time prior to purchase confirmation. Gala de Danza reserves the right to limit quantities, refuse orders, revoke tickets obtained in violation of these Terms, and cancel purchases suspected of fraud, unauthorized resale, or misuse.

Tickets may not be resold, transferred, auctioned, or used for promotional or commercial purposes without the prior written consent of Gala de Danza. Unauthorized resale or transfer may result in cancellation without refund.

3.   Event Programming; Modifications; Artist Changes

Gala de Danza reserves the absolute right, in its sole discretion, to modify, substitute, cancel, reschedule, or alter any aspect of the Event at any time. This includes, without limitation, performers, artists, speakers, schedules, programming, venue layouts, seating arrangements, dining experiences, hospitality offerings, excursions, transportation arrangements, accommodations, event timing, production elements, security protocols, and related Event logistics.

Such modifications may occur due to artistic, operational, logistical, governmental, security, venue-related, production-related, weather-related, travel-related, or other considerations. Any such modifications shall not constitute grounds for refunds, chargebacks, cancellations, credits, disputes, or liability of any kind.

4.   Experience Packages; Third-Party Services

Certain hotels, transportation services, sightseeing activities, concierge services, excursions, dining experiences, hospitality arrangements, and related offerings may be arranged through independent third-party providers, including Sakkara Group International (“SGI”), hotels, transportation providers, restaurants, security providers, tour operators, ticketing platforms, payment processors, and other vendors.

All such third-party services are subject to the terms, conditions, policies, limitations, operational capabilities, and availability of the applicable provider. Gala de Danza acts solely as a facilitator and coordinator of such arrangements and does not own, operate, control, supervise, or guarantee third-party services.

Accordingly, Gala de Danza shall not be liable or responsible for any acts, omissions, delays, interruptions, failures, injuries, losses, damages, cancellations, service deficiencies, overbookings, transportation issues, travel disruptions, governmental actions, political events, weather conditions, force majeure events, or other issues arising from or relating to third-party providers or services.

5.   International Travel; Assumption of Risk

Attendees acknowledge that participation in the Event may involve international travel and associated risks, including but not limited to flight disruptions, governmental restrictions, security concerns, political instability, terrorism, civil unrest, transportation delays, weather events, health risks, illness, passport or visa issues, travel interruptions, and unforeseen circumstances beyond the control of Gala de Danza.

All attendees voluntarily assume all risks associated with travel to and attendance at the Event and are solely responsible for obtaining valid travel documents, visas, passports, insurance coverage, medical coverage, vaccinations, transportation arrangements, and compliance with all local laws and regulations.

Gala de Danza strongly recommends that all attendees obtain comprehensive travel insurance covering cancellations, medical emergencies, transportation disruptions, and related risks.

6.   Event Cancellation; Force Majeure

Gala de Danza shall not be liable for any delay, postponement, interruption, modification, suspension, or cancellation of the Event caused directly or indirectly by circumstances beyond its reasonable control, including but not limited to acts of God, weather conditions, governmental actions, venue restrictions, museum restrictions, labor disputes, strikes, war, terrorism, civil unrest, political instability, pandemics, epidemics, transportation disruptions, security concerns, utility failures, artist illness or unavailability, or other force majeure events.

In the event Gala de Danza cancels the Event in its entirety, the purchaser’s sole and exclusive remedy shall be a refund of the face value of the applicable ticket actually paid. Under no circumstances shall Gala de Danza be responsible for merchant processing fees, banking fees, foreign exchange fees, currency conversion fees, shipping fees, insurance costs, airfare, accommodations, transportation expenses, incidental expenses, or consequential damages of any kind.

Any applicable refunds may be processed by the applicable ticketing provider or payment processor in accordance with their policies and procedures.

7.   Chargebacks; Payment Disputes

By purchasing tickets or related Event experiences, purchasers expressly acknowledge and agree that all purchases are made subject to these Terms & Conditions, including the final sale policy and Gala de Danza’s right to modify programming, schedules, artists, venues, hospitality offerings, and Event logistics.

Purchasers agree not to initiate improper or bad-faith chargebacks, payment reversals, or payment disputes relating to matters disclosed in these Terms & Conditions. Gala de Danza reserves the right to contest any chargeback or payment dispute and to recover all associated costs, fees, damages, administrative expenses, and legal fees arising from improper disputes to the fullest extent permitted by law.

8.   Code of Conduct; Admission Rights

All attendees are expected to conduct themselves respectfully, professionally, and lawfully at all times. Attendees must comply with all Event rules, venue policies, museum regulations, security procedures, dress codes, and applicable laws and regulations.

The Grand Egyptian Museum is a protected cultural heritage site, and attendees acknowledge that strict operational, security, and conduct standards may apply.

Gala de Danza reserves the right, in its sole discretion and without refund, to deny admission, revoke tickets, remove attendees, deny participation in Event activities, or restrict access to portions of the Event for behavior deemed disruptive, unsafe, unlawful, abusive, threatening, intoxicated, inappropriate, or inconsistent with Event standards or venue requirements.

9.   Photography; Media Release

By attending the Event, attendees irrevocably consent to being photographed, filmed, videotaped, recorded, livestreamed, or otherwise captured in connection with the Event.

Attendees grant Gala de Danza and its affiliates, licensees, successors, assigns, sponsors, promotional partners, and representatives the unrestricted worldwide right to use, reproduce, publish, distribute, display, edit, modify, and otherwise exploit such recordings, images, likenesses, names, voices, and appearances in any media now known or later developed for promotional, commercial, editorial, archival, marketing, advertising, or other lawful purposes without compensation, approval, or further consent.

10.   Intellectual Property

All Event content, branding, trademarks, logos, videos, photographs, graphics, artwork, choreography, performances, website materials, promotional materials, audiovisual works, and related intellectual property are owned exclusively by Gala de Danza or its licensors and are protected under applicable intellectual property laws and international treaties.

No material may be copied, reproduced, distributed, modified, publicly displayed, commercially exploited, or otherwise used without the express written consent of Gala de Danza.

11.   Limitation of Liability

To the fullest extent permitted by law, Gala de Danza and its affiliates, officers, directors, employees, agents, contractors, sponsors, representatives, vendors, licensors, partners, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, emotional distress, travel-related, or economic damages arising out of or relating to the Event, website, ticket purchases, hospitality experiences, travel arrangements, or attendance at the Event.

This limitation applies regardless of the legal theory asserted and even if Gala de Danza has been advised of the possibility of such damages.

In all circumstances, Gala de Danza’s maximum aggregate liability shall not exceed the amount actually paid by the purchaser for the applicable ticket or package giving rise to the claim.

12.   Indemnification

Attendees and purchasers agree to indemnify, defend, and hold harmless Gala de Danza and its affiliates, officers, directors, employees, contractors, representatives, sponsors, vendors, partners, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising out of or relating to:

a)  violation of these Terms & Conditions;

b)  attendee misconduct;

c)  attendee negligence or unlawful acts;

d)  injury or property damage caused by attendee actions; or

e)  attendee violation of venue rules or applicable laws.

13.   Governing Law; Venue

These Terms & Conditions and any disputes arising out of or relating to the Event, website, ticket purchases, hospitality experiences, or related services shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles.

Any dispute, claim, or proceeding arising out of or relating to these Terms & Conditions or the Event shall be brought exclusively in the state or federal courts located in the State of Delaware, United States of America, and all parties irrevocably consent to the exclusive jurisdiction and venue of such courts.

14.   Severability

If any provision of these Terms & Conditions is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

15.   Entire Agreement

These Terms & Conditions constitute the entire agreement between Gala de Danza and the purchaser relating to the subject matter herein and supersede all prior oral or written communications, representations, understandings, or agreements relating to the Event.
